The executed escrow agreement controls. Release conditions can be structured around written certifications, specified documents, joint instructions, or other agreed evidence. The parties define the conditions; escrow does not itself certify the engineering quality of a facility or equipment.
The agreement should specify any cure period, cancellation or refund rights, and the treatment of disputed amounts. Disputed funds can remain held pending the agreed resolution mechanism, such as joint written instructions or an applicable binding order.
The parties agree how interest is allocated and how applicable fees are handled. Those terms are documented alongside the account structure and release instructions, so the economics are clear before funding.
